Foreign Pooled Investment Vehicles can only report a single Beneficial Owner who exercises substantial control over the company. If you have more than one individual who exercises substantial control, only report the individual who has the greatest authority over strategic management of your company.

Your company may not be required to file a beneficial ownership information report under the Beneficial Ownership Information Reporting Rule if it does not meet the criteria of a foreign reporting company. This term applies to entities that are: (A) Corporations, limited liability companies, or other entities; (B) Formed under the law of a foreign country; and (C) Registered to do business in any state or tribal jurisdiction by filing a document with a secretary of state or similar office.
Since you indicated that you did not file a document with a Secretary of State or similar office, your company may not meet the criteria of a foreign reporting company and may not need to file. However, you can still choose to file without penalty from FinCEN if your company is excludable.
